This End User Licence Agreement ("Agreement") is a legal agreement between you, the end user ("You" or "User"), and Thorne Widgery Accountancy Ltd, a company incorporated in England and Wales (company number 05834836), whose registered office is at 2 Wyevale Business Park, Kings Acre, Hereford, HR4 7BS, trading as XfE - Xero for Education ("XfE", "We", "Us").
By accessing or using the XfE software platform, web application, integrations, and any associated services (collectively, the "Software"), You agree to be bound by the terms of this Agreement. If You do not agree, You must not access or use the Software.
1. Definitions
In this Agreement, the following terms have the meanings set out below:
"Data Protection Legislation"
means all applicable UK data protection and privacy legislation, including the UK GDPR and the Data Protection Act 2018, as amended from time to time.
"Intellectual Property Rights"
means patents, copyright, trade marks, database rights, rights in software, and all other intellectual property rights, whether registered or unregistered.
"Software" means the XfE web application, platform, integrations (including the Xero integration), templates, dashboards, and any related documentation or updates provided by XfE. "User" means the individual or organisation accessing the Software under this Agreement. "Xero" means Xero Limited, whose software platform is integrated with and accessed through the Software.
2. Grant of Licence
2.1 Subject to the terms of this Agreement, XfE grants You a non-exclusive, non-transferable, revocable licence to access and use the Software solely for Your own internal business purposes.
2.2 This licence is granted to You as an organisation (school, academy, multi-academy trust, or similar educational institution) and does not permit use of the Software to provide services to third parties, including bureau services, managed services, or outsourced accounting services.
2.3 This licence commences on the date You first access the Software and continues until terminated in accordance with clause 10.
3. Permitted Use
You may use the Software to:
• Manage budgets and reporting for Your organisation.
• Access and interact with Your Xero account through the XfE integration.
• Generate reports, dashboards, and financial outputs for internal use.
• Allow authorised staff within Your organisation to access the Software.
4. Restrictions
You must not:
• Copy, modify, adapt, translate, or create derivative works of the Software.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
• Sub-license, sell, resell, transfer, assign, or otherwise make the Software available to any third party.
• Use the Software to provide bureau services, outsourced services, or managed services to third parties.
• Remove or alter any proprietary notices, labels, or marks on the Software.
• Use the Software in any manner that violates applicable law or regulation.
• Attempt to gain unauthorised access to any part of the Software or its underlying infrastructure.
5. User Security Obligations
5.1 Users are responsible for maintaining the confidentiality and security of login credentials associated with their accounts.
5.2 Users must ensure that only authorised personnel within their organisation access the Software.
5.3 Users must promptly notify XfE if they become aware of any unauthorised access, security breach, or misuse of the Software.
6. Xero Integration
6.1 The Software connects to and operates in conjunction with Xero's accounting platform. Your use of Xero is governed separately by Xero's own terms of service and privacy policy. XfE is not responsible for Xero's platform, availability, or terms.
6.2 You are responsible for maintaining a valid Xero subscription and ensuring You have the necessary permissions to connect Your Xero account to the Software.
6.3 XfE is an authorised Xero App Partner, and the integration is built in accordance with Xero's API partner programme requirements.
7. Third-Party Services
7.1 The Software may rely on third-party hosting providers, cloud infrastructure, APIs, and integrations in order to operate.
7.2 XfE shall not be liable for failures, delays, or service interruptions caused by such third-party services beyond its reasonable control.
8. Intellectual Property
8.1 The Software, and all Intellectual Property Rights in it, are and shall remain the exclusive property of Thorne Widgery Accountancy Ltd. Nothing in this Agreement transfers any ownership of Intellectual Property Rights to You.
8.2 You retain ownership of all data You input into the Software. By using the Software, You grant XfE a limited licence to process that data solely to provide the services to You.
8.3 If You provide feedback, suggestions, or improvement ideas relating to the Software, You grant XfE a perpetual, worldwide, royalty-free licence to use and incorporate such feedback into the Software.
8.4 You must promptly notify Us if You become aware of any unauthorised use or infringement of the Software.
9. Data Protection and Privacy
9.1 Both parties shall comply with their respective obligations under applicable Data Protection Legislation.
9.2 XfE acts as a data processor in respect of personal data You input into the Software. Processing is governed by the Data Processing Agreement forming part of the services agreement between XfE and Your organisation.
9.3 XfE's Privacy Policy, available at www.xfeonline.co.uk (http://www.xfeonline.co.uk/), explains how personal data is collected and used.
10. Disclaimer of Warranties
10.1 The Software is provided on an "as is" and "as available" basis.
10.2 To the fullest extent permitted by law, XfE disclaims all warranties, express or implied, including:
• merchantability
• fitness for a particular purpose
• non-infringement
10.3 XfE does not warrant that the Software will be uninterrupted, error-free, or free from harmful components, nor that defects will be corrected.
10.4 XfE may carry out scheduled maintenance, updates, or security improvements, which may temporarily affect availability of the Software.
10.5 The Software is provided as a financial management tool only and does not constitute accounting, legal, or financial advice. Users remain responsible for ensuring compliance with all applicable financial, regulatory, and educational reporting requirements.
10.6 Nothing in this Agreement excludes or limits liability for:
• death or personal injury caused by negligence
• fraud or fraudulent misrepresentation
• any liability which cannot be excluded under English law.
11. Limitation of Liability
11.1 To the fullest extent permitted by law, XfE's total aggregate liability to You under or in connection with this Agreement shall not exceed the total fees paid by You to XfE in the twelve months preceding the event giving rise to the claim.
11.2 XfE shall not be liable for:
• indirect or consequential losses
• loss of profit
• loss of revenue
• loss of data
• loss of business
• loss of goodwill.
12. Term and Termination
12.1 This Agreement remains in force until terminated.
12.2 XfE may terminate or suspend access to the Software immediately if:
• You breach a material term and fail to remedy it within 14 days of written notice
• You fail to pay amounts due under Your services agreement
• You become insolvent or enter administration.
12.3 You may terminate this Agreement by ceasing to use the Software and providing written notice.
12.4 On termination:
• all licences granted under this Agreement cease immediately
• XfE may provide a limited period for exporting Your data
• after this period, XfE may securely delete data in accordance with its retention policies.
12.5 Users are responsible for maintaining their own copies of financial records and reports generated using the Software.
12.6 Clauses relating to Intellectual Property, Disclaimers, Liability, and Governing Law shall survive termination.
13. Updates and Changes
13.1 XfE may update the Software periodically to improve functionality, security, or regulatory compliance.
13.2 XfE may update this Agreement from time to time. The latest version will always be available at www.xfeonline.co.uk (http://www.xfeonline.co.uk/).
13.3 Continued use of the Software after notification of changes constitutes acceptance of the updated Agreement.
14. Force Majeure
XfE shall not be liable for failure or delay in performing its obligations under this Agreement where such failure results from events beyond its reasonable control, including but not limited to:
• internet or cloud infrastructure outages
• cyber incidents
• natural disasters
• governmental actions
• strikes or labour disputes.
15. General
15.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
15.2 Entire Agreement
This Agreement constitutes the entire agreement relating to the use of the Software and supersedes all prior agreements relating to the same subject matter.
15.3 Severance
If any provision is found to be unenforceable, the remaining provisions shall remain in full force.
15.4 Waiver
Failure to enforce any provision shall not constitute a waiver of that provision.
